By accessing or using the Grin Weddings website, mobile application, or any related services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). Please read these Terms carefully before using our Platform.

If you do not agree to these Terms, you must not access or use our Platform. By continuing to use our Platform, you confirm that you accept these Terms and agree to comply with them.

These Terms apply to all visitors, registered users, vendors, and any other persons who access or use our Platform.

Grin Weddings is a wedding discovery and planning platform that connects couples with wedding vendors across Nigeria and Africa. Our services include:

Vendor Directory: A curated marketplace of wedding professionals including photographers, caterers, decorators, venues, entertainers, makeup artists, and other wedding service providers.

Planning Tools: Digital tools to help couples plan their wedding, including budget calculators, checklist managers, AI-powered planning assistants, seating chart builders, and RSVP management features.

Editorial Content: Wedding inspiration content, expert guides, and editorial articles to help couples make informed decisions.

AI Companion (Femi): An AI-powered assistant designed to help couples navigate their wedding planning journey.

We reserve the right to modify, suspend, or discontinue any part of our services at any time without prior notice.

To access certain features of our Platform, you may be required to create an account. When you register, you agree to provide accurate, current, and complete information and to keep your account information updated at all times.

You are responsible for maintaining the confidentiality of your account credentials (username and password) and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account or any other security breach.

Grin Weddings will not be liable for any loss or damage arising from your failure to safeguard your login credentials. You may not create an account using someone else's identity, use a false identity, or use a name that is offensive or that violates any third-party rights.

Vendors who register on the Platform agree to provide truthful, accurate, and up-to-date information about their services, pricing, availability, and qualifications. Grin Weddings does not independently verify all vendor credentials or the accuracy of every listing, and we are not responsible for the quality, safety, legality, or any other aspect of vendor services.

For Couples: All vendor interactions, inquiries, negotiations, bookings, and payment arrangements are conducted directly between you and the vendor. Grin Weddings is a discovery platform and is not a party to any contract or agreement made between couples and vendors.

For Vendors: You grant Grin Weddings a non-exclusive, royalty-free licence to use, display, and promote your listing content (including images and descriptions) on our Platform and related marketing materials. You retain ownership of your content.

Grin Weddings reserves the right to remove, suspend, or decline any vendor listing that violates these Terms, contains inaccurate information, or is otherwise deemed inappropriate at our sole discretion.

You agree to use the Platform only for lawful purposes and in a manner that does not infringe the rights of others or restrict or inhibit their use of the Platform. You must not:

• Submit false, misleading, or fraudulent information to the Platform.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Post or transmit any content that is defamatory, obscene, abusive, threatening, harassing, or otherwise objectionable.
• Use the Platform to send unsolicited commercial communications (spam) to vendors or other users.
• Attempt to gain unauthorised access to any part of our Platform or its related systems.
• Use automated tools, bots, scrapers, or similar mechanisms to access or collect data from the Platform without prior written consent.
• Reverse engineer, decompile, or disassemble any software underlying the Platform.
• Use the Platform in any way that could damage, disable, overburden, or impair our servers or networks.

The Platform and its entire content, features, and functionality — including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software — are owned by Grin Weddings or its licensors and are protected by applicable copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and use the Platform for personal, non-commercial purposes. You must not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any Platform content without our prior written consent.

User-generated content (such as reviews, photos, and comments) remains the property of the user who submitted it. By posting content on our Platform, you grant Grin Weddings a worldwide, non-exclusive, royalty-free licence to use, reproduce, adapt, publish, and distribute such content in connection with our services.

The Platform and all content, services, and features provided through it are offered on an "as is" and "as available" basis, without warranty of any kind, express or implied. Grin Weddings expressly disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Grin Weddings does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. We do not guarantee the accuracy, completeness, or usefulness of any information on the Platform, and we are not responsible for any errors or omissions in that information.

As a discovery platform, Grin Weddings does not guarantee the quality, safety, or legality of any vendor listed on the Platform, and we are not liable for any disputes or issues arising from your interactions with vendors.

To the fullest extent permitted by applicable law, Grin Weddings, its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including, without limitation, loss of profits, loss of data, loss of goodwill, service interruptions, or the cost of substitute services — arising out of or in connection with your use of the Platform or any vendor services, whether based on warranty, contract, tort (including negligence), or any other legal theory.

In no event shall Grin Weddings's total liability to you for all damages exceed the greater of the amount you paid to Grin Weddings in the twelve months preceding the claim, or ₦50,000 (fifty thousand naira).

You agree to defend, indemnify, and hold harmless Grin Weddings and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgements, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your violation of these Terms, your use of the Platform, any content you submit to the Platform, or your interactions with any vendor.

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data collection, use, and disclosure practices. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy.

Our Platform may contain links to or integrations with third-party websites, applications, or services that are not owned or controlled by Grin Weddings. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites or services. We encourage you to read the terms and privacy policies of any third-party services you use.

We reserve the right to update, modify, or replace these Terms at any time at our sole discretion. We will notify you of significant changes by posting a notice on our Platform or by sending a notification to your registered email address.

Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the Platform immediately.

We may terminate or suspend your access to the Platform at any time, with or without cause, and with or without notice, including if we believe you have violated these Terms. Upon termination, your right to use the Platform will immediately cease.

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms shall first be addressed through informal negotiation. If the parties cannot resolve a dispute informally within 30 days, the dispute shall be submitted to binding arbitration in Lagos, Nigeria. Nothing in this clause shall prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction.
